Terms and Conditions

1. Introduction
Welcome to Scale Mediation. These Terms and Conditions (“Terms”) govern your access to and use of the Scale Mediation website, platform, and services (collectively, the “Platform”). The Platform is a software-as-a-service (SaaS) solution designed to provide mediators (“Mediators”) with tools for case management, scheduling, client onboarding, invoicing, and payments.
By accessing or using the Platform, you, whether as a Mediator or a party to a mediation (“Party” or “Client”), agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.
2. Description of Service
- A public booking page for Mediators to display their availability.
- Automated scheduling and calendar synchronization.
- A centralized dashboard for managing case files, documents, and participants.
- An automated onboarding process for Parties.
- Secure document upload and storage.
- Integrated invoicing and payment processing for mediation fees.
3. User Accounts & Responsibilities
- Account Creation: To use certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process.
- Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify Scale Mediation immediately of any unauthorized use of your account.
- User Conduct: You agree not to use the Platform for any unlawful purpose or to engage in any activity that could harm, disable, or impair the Platform.
4. Fees and Payments
- For Mediators: The Scale Mediation Platform is provided free of charge to Mediators.
- For Parties/Clients: Our services are funded by a small, non-refundable administrative fee (“Admin Fee”) charged to the paying Parties of a mediation. This fee is automatically added during the payment process.
- Payment Processing: All payments, including mediator fees and Admin Fees, are processed through our third-party payment processor, Stripe. By making a payment, you agree to Stripe’s terms of service. Scale Mediation does not store your credit card information.
- Mediator Fees: Mediators are solely responsible for setting their own professional fees. All such fees collected through the Platform are transferred directly to the Mediator’s connected Stripe account, less any applicable Stripe processing fees and our Admin Fee. Scale Mediation is not responsible for any disputes related to the Mediator’s professional fees.
5. User Content & Data Ownership
- Your Content: You retain full ownership of all data, documents, and information you upload or create on the Platform (“User Content”).
- Our License to You: We grant you a limited, non-exclusive, non-transferable license to access and use the Platform.
- Your License to Us: To operate the service, you grant Scale Mediation a worldwide, non-exclusive, royalty-free license to host, display, and process your User Content solely for the purpose of providing and improving the Platform’s services to you.
6. Confidentiality and Privacy
- Our Commitment: We are committed to protecting your data. We employ industry-standard security measures, including encryption, to protect User Content in transit and at rest.
- Privacy Policy: Our use of your personal information is governed by our Privacy Policy. By using the Platform, you consent to the collection and use of your information as described therein.
7. Intellectual Property
- All rights, title, and interest in and to the Platform (excluding User Content), including all associated intellectual property rights, are and will remain the exclusive property of Scale Mediation and its licensors.
8. Disclaimers and Limitation of Liability
- “AS IS” Service: The Platform is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, express or implied.
- No Guarantee of Outcome: We do not guarantee that any dispute will be resolved through the use of the Platform, nor are we responsible for the conduct of any user.
- Limitation of Liability: To the maximum extent permitted by law, Scale Mediation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the Platform. In no event shall our aggregate liability exceed the greater of one hundred U.S. dollars ($100.00) or the amount you paid Scale Mediation, if any, in the past six months.
9. Term and Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Platform at any time, with or without cause or notice, if you violate these Terms. Upon termination, your right to use the Platform will immediately cease. We will retain your data in accordance with our data retention policy and applicable law.
10. Changes to Terms
We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on this page and updating the “Effective Date” above. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
